Basic Policy

Our company aims to be a company that earns the trust of all stakeholders, including our customers, business partners, employees, local communities, shareholders, and investors. We strive for fair and transparent corporate management and will disclose necessary corporate information in a timely, appropriate, and equitable manner.

Information Disclosure Standards

Our company will disclose information in accordance with the Financial Instruments and Exchange Act, the Companies Act, and the timely disclosure rules established by the Tokyo Stock Exchange. In addition, we will proactively disclose information that we believe is beneficial in deepening understanding of our company, even if it does not fall under the Financial Instruments and Exchange Act, the Companies Act, or the timely disclosure rules.

Methods of information disclosure

  1. Legally required disclosure information

    • Information that is required to be disclosed under the Financial Instruments and Exchange Act will be disclosed through the "Electronic Disclosure System (EDINET)" managed by the Financial Services Agency, and will also be promptly posted on our website.
  2. Timely Disclosure Information

    • Information that falls under the timely disclosure rules established by the Tokyo Stock Exchange will be disclosed through the "Timely Disclosure Information Transmission System (TDnet)" provided by the exchange, and will also be promptly posted on our website.
  3. Important information subject to the Fair Disclosure Rule

    • We strive to properly manage important, undisclosed information concerning our operations, business, or assets that could have a significant impact on investors' investment decisions. In the event that such information is transmitted to only a limited number of trading partners before its public release, we will disclose it in accordance with the Fair Disclosure Rules (Article 27-36 of the Financial Instruments and Exchange Act and the Cabinet Office Ordinance on the Disclosure of Important Information).

Furthermore, even for information that does not fall under categories 1, 2, or 3 above, we will strive to disclose information in a timely, appropriate, and fair manner, including holding earnings briefings, issuing news releases, and posting materials on our website.

Silence period

To prevent the leakage of financial information, our company observes a quiet period from the day after the end of the fiscal year (including quarterly results) until the announcement of financial results. During this period, we refrain from making any comments or answering any questions regarding financial results. However, if it is anticipated that the actual financial results will deviate significantly from the previously announced forecast during this period, we will disclose the information in accordance with timely disclosure regulations.

Spokesperson for IR activities

To ensure the accuracy of information and fairness of disclosure, our company designates the President and CEO and officers and employees responsible for IR operations as spokespersons for communication with investors. To ensure consistency in disclosures and avoid selective disclosure, other officers and employees will not, in principle, communicate with investors. However, if such communication is necessary, it will be conducted only to the extent approved by the spokesperson on a case-by-case basis.

Regarding future prospects

The forward-looking statements, such as earnings forecasts, plans, and projections, disclosed by our company are based on information available to us at the time of disclosure and certain assumptions that we consider reasonable. We disclose these statements with a cautionary note, taking into consideration that actual results may differ significantly due to various factors.
