Compliance Basic Policy

To enhance the soundness of our management and achieve sustainable development, we consider compliance—that is, conducting our business activities in accordance with laws and social rules—as the foundation of our management.

  1. In order to earn the trust of our customers and society, we will comply with laws and regulations and their spirit, and conduct our business in accordance with social ethics and good sense.
  2. We have established compliance as a fundamental management policy and are committed to strengthening compliance.

Compliance System

We have appointed a compliance officer who is the highest-ranking officer responsible for compliance, and we have established a system in place so that when a significant compliance-related incident occurs, the directors report it to the Board of Directors and the Audit and Supervisory Committee (or Audit and Supervisory Committee members) through the compliance officer.

Legal Affairs Department is responsible for compliance-related matters, and each department is assigned a compliance officer and other necessary personnel. Furthermore, the Legal Department manages and supervises the implementation of the compliance manual and has established an appropriate training system for all officers and employees. For audits, an internal audit department, independent of the operational departments, is in place to audit the compliance status.

Efforts to promote compliance

1. "Our Promise" card

We distribute a "Our Promises" card, which outlines our company motto, corporate philosophy, and code of conduct, to all employees. We ensure that they thoroughly understand these contents, act with good judgment and responsibility, and fulfill their corporate social responsibility.

2. Compliance Manual

We have established a compliance manual, which we update as needed and distribute to all our officers and employees.

The original meaning of the word "compliance" is "adherence to laws and regulations," meaning to abide by laws, administrative notices and guidelines, and internal company rules. Recently, the meaning of the word has broadened, and even words and actions that do not violate laws but are not socially acceptable are now considered "compliance violations." Therefore, this manual also addresses "employee attitudes outside of work hours and outside of work time," serving as a guide for each employee to make judgments and take actions in their daily work and life.

1. This program is implemented for full-time and contract employees of Takeuchi Manufacturing Co., Ltd. (non-consolidated).
2. A five-question quiz is administered once every three months.
3. Based on the results of the compliance quiz, follow-up trainings have been conducted as needed.
